提示：在使用群艺积分制产品及服务之前，您应当认真阅读并遵守《群艺积分制服务协议》（以下简称“本协议”）以及《群艺积分制隐私权政策》。请您务必审慎阅读、充分理解各条款内容，特别是免除或者限制责任的条款、争议解决和法律适用条款。免除或限制责任的条款可能将以加粗字体显示，您应重点阅读。
当您按照注册页面提示填写信息、阅读并同意本协议且完成全部注册程序后，或您按照激活页面提示填写信息、阅读并同意本协议且完成全部激活程序后，或您以其他群艺积分制允许的方式实际使用本服务时，即表示您已充分阅读、理解并接受本协议的全部内容，本协议即产生法律约束力。您承诺接受并遵守本协议的约定，届时您不应以未阅读本协议的内容或者未获得群艺积分制对您问询的解答等理由，主张本协议无效，或要求撤销本协议。
一、缔约主体
本协议由通过群艺积分制网站、群艺社区积分制网站、群艺积分制管理学院网站、群艺积分制管理平台及软件客户端、群艺社区积分制管理平台及软件客户端、群艺家庭儿童积分制管理平台及软件客户端、群艺校园积分制管理平台及软件客户端、群艺积分制互联网/物联网智能硬件、群艺客户关系管理系统及软件客户端、群艺考勤管理系统及软件客户端、群艺人大积分制系统及软件客户端、荆楚红管家积分制管理平台及软件客户端、政协积分制管理平台及软件客户端，以及其他方式使用各种群艺积分制产品和服务的用户（以下简称“用户”或“您”）与湖北群艺文化产业集团有限公司、湖北群艺积分制咨询管理有限公司、群艺积分制（广州）互联网科技有限公司、群艺积分制（武汉）互联网科技有限公司（以下合称“群艺积分制”）共同缔结。
二、协议内容和效力
1、本协议内容包括本协议正文所有群艺积分制已发布或将可能发布的隐私权政策、各项政策、规则、声明、通知、警示、提示、说明（以下简称“规则”）。前述规则为本协议不可分割的组成部分，与本协议具有同等法律效力。
2、群艺积分制有权根据需要不时制订、修改本协议及相关规则，变更后的协议和规则一经公布，立即取代原协议及规则并自动生效。如您不同意相关变更，应当立即停止使用群艺积分制服务，如您继续使用群艺积分制服务或进行任何网站活动，即表示您已接受经修订后的协议和规则。
三、服务内容
1、群艺积分制（英文简写MPM）的产品及服务，包括群艺积分制官网（域名为jifenzhi.com）、群艺社区积分制官网（域名为jifenzhi.city）、群艺积分制管理学院网站（域名为jifenzhi.top）、群艺积分制管理平台（域名为jifenzhi.info）及软件客户端、群艺社区积分制管理平台及软件客户端、群艺家庭儿童积分制管理平台及软件客户端、群艺校园积分制管理平台及软件客户端、群艺积分制互联网/物联网智能硬件（如LED公示屏、大屏展示系统、考勤机）、群艺客户关系管理系统（简称：群艺CRM）、群艺考勤管理系统（简称：群艺考勤）、群艺人大积分制系统（简称：人大积分制）、群艺素质积分系统（简称：素质积分）、荆楚红管家积分制管理平台（简称：荆楚红管家）、政协积分制管理（简称：智慧政协）、新联会积分制管理（简称：新联会）以及将群艺积分制部分功能/服务作为第三方服务集成在群艺积分制关联公司和/或其他第三方智能硬件、软件或服务中并向您提供的服务（“本服务”，具体以群艺积分制提供的为准）。群艺积分制会不断丰富您使用本服务的终端、形式等，如您已注册使用一种形式的服务，则可以以同一账号使用其他服务，本协议自动适用于您对所有版本的软件和服务的使用。
需要特别说明的是，本政策不适用于其他第三方通过群艺积分制网站或客户端提供的产品（或服务），或任何其他第三方提供的产品（或服务）（以下统称“第三方服务”），您在选择使用第三方服务前应充分了解第三方服务提供的内容。
2、群艺积分制依据本协议、《群艺积分制隐私权政策》以及其他适用的规则，许可您对群艺积分制软件进行不可转让的、非排他性的使用。您可以制作本软件的一个副本，仅用作备份。备份副本必须包含原软件中含有的所有著作权信息，本条及本协议其他条款未明示授权的其他一切权利仍由群艺积分制保留，您在行使这些权利时须另外取得群艺积分制的书面许可。群艺积分制如果未行使前述任何权利，并不构成对该权利的放弃。
3、本服务内容包含支持组织实施积分制管理为核心的技术功能，这些功能服务可能根据用户需求的变化，随着因服务版本不同、或服务提供方的单方判断而被优化或修改，或因定期、不定期的维护而暂缓提供。
本服务内容涉及的核心管理思想：“积分制管理”，它是湖北群艺集团董事长李荣独创的一套全新的管理方法。它的核心内容，就是用奖分和扣分对人的能力和综合表现进行全方位的量化考核，并用软件记录和永久性使用，其目的就是为了全方位调动人的积极性，解决管理上的困惑。积分制管理体系中的积分与我们平常所接触的积分文字相同，但内涵完全不同。在积分制管理体系中，组织通过建立人员挣积分的平台从多维度来认可优秀的人员，通过建立使用积分的平台，来解决人员付出的原动力。挣积分平台例如：人员的学历、职称、技术专长、个人特长可以给积分；以及做事，如生产产品、销售产品、服务客户、加班等可以给积分；人员做人，如文明礼貌、做好人好事、孝顺父母、提合理化建议等等可以给积分。使用积分平台例如：评优、晋升、奖金、福利、休假、春节物资、配发干股等等都可以与人员所挣的积分名次挂钩。

4、群艺积分制有权自行决定对服务或服务任何部分及其相关功能、应用软件进行变更、升级、修改、转移，并在群艺积分制官网上公示通知或软件版本迭代描述中显示，不再单独进行告知。
5、经组织书面授权，您可以代表组织申请管理员账号，通过群艺积分制审核之后可通过该管理员账号拥有组织最高管理权限，不限组织机构设置、管理人员权限设置、排名自定义、基础积分设置等多样化自定义设置，并通过群艺积分制服务实现组织各管理层级的自定义、成员分组、奖扣权限等。组织及授权组织管理员在对您的组织进行成员新增时，应向您的组织成员充分说明基于组织管理需求所开通的群艺积分制相关服务。
6、如果您在使用本服务时接受邀请成为某个组织的成员并维持该身份时，您可以享受群艺积分制为该组织及其成员提供的服务内容，以群艺积分制实际提供功能及组织开通情况为准。您所在组织及其管理员基于组织管理需求，对您的组织成员身份及基于该身份的相关权益进行管理，包括但不限于加入、删除以及调整权限和限制服务内容等。您保证在遵守群艺积分制服务规范的同时，按照组织的授权范围和规范使用群艺积分制服务。
四、注册及账号管理
1、您确认，在您完成注册程序或以其他群艺积分制允许的方式实际使用服务时，您应当是具备完全民事权利能力和与所从事的民事行为相适应的行为能力的自然人、法人或其他组织。若您不具备前述主体资格，请勿使用服务，否则您及您的监护人应承担因此而导致的一切后果，且群艺积分制有权注销（永久冻结）您的账户，并向您及您的监护人索偿。如您代表一家企业、单位、政府机构、社区团体或其他法律主体进行注册或以其他群艺积分制允许的方式实际使用本服务，则您声明和保证，您已经获得充分授权并有权代表该组织机构或法律主体注册使用群艺积分制，并受本协议的约束。
2、您可以使用您提供或确认的手机号或者群艺积分制允许的其它方式作为账号进行注册, 您注册时应提交真实、准确、完整和反映当前情况的身份及其他相关信息，同时我们将为你分配一个群艺积分制账号，确定后将无法修改。你理解并同意，您承诺注册的账号名称、组织识别码、头像和简介等信息中不得出现违法和不良信息，不得冒充他人，不得未经许可为他人注册，不得以可能导致其他用户误认的方式注册账号或设置组织识别码，不得使用可能侵犯他人权益的用户名（包括但不限于涉嫌商标权、名誉权侵权等），否则我们有权不予注册或停止服务并收回账号及组织识别码，因此产生的损失由您自行承担。
3、您了解并同意，群艺积分制注册账号（包括客户端账号及组织识别码）所有权归属于群艺积分制，注册完成后，您仅获得账号使用权。群艺积分制账号使用权仅归属于初始申请注册人，不得以任何方式转让或被提供予他人使用，否则，群艺积分制有权立即不经通知收回该账号，由此带来的因您使用本服务产生的全部数据、信息等被清空、丢失等的损失，您应自行承担。
4、在您成功注册后，群艺积分制将根据您的身份要素识别您的身份和授权登录。“身份要素”包括但不限于您的账户名称、密码、短信校验码、手机号码、身份证件号码等其他相关信息。您同意基于不同的终端以及您的使用习惯，群艺积分制可能采取不同的验证措施识别您的身份。例如您的账户在新设备首次登录的，我们可能通过密码加短信校验码或其他验证的方式确认您的身份。请您务必妥善保管您的终端及账户、密码、组织识别码和/或身份要素信息，并对利用该账户和密码/身份信息所进行的一切活动（包括但不限于网上点击同意或提交各类规则协议或购买服务、分享资讯或图片等）负全部责任。您承诺，在密码或账户遭到未获授权的使用，或者发生其他任何安全问题时，将立即通知群艺积分制，且您同意并确认，除法律另有规定外，群艺积分制不对上述情形产生的任何直接或间接的遗失或损害承担责任。除非有法律规定或司法裁定，且征得群艺积分制的同意，否则，您的账户、密码、组织识别码不得以任何方式转让、赠与或继承（与账户相关的财产权益除外）。
5、您了解并同意，如您注册群艺积分制账号后连续超过12个月未登录，群艺积分制为优化管理等目的，有权回收该账号。
6、如您注销群艺积分制或停止使用服务时，群艺积分制有权自行对账号相关内容及信息以包括但不限于删除等方式进行处理，且无需就此向用户承担任何责任；如果账号为管理员账号，群艺积分制有权取消和删除该管理员账号以及所有相关组织配置基于该组织的一切信息和相关权益，包括但不限于解除与组织之间的服务关系、删除事件库、取消管理人员的奖扣权限、删除管理员账号中的所有设置、删除奖扣数据基于组织的所有事件等，您或您代表的组织也有义务及时删去存储在群艺积分制服务器上的所有组织信息。
五、服务使用规范
1、用户充分了解并同意，群艺积分制仅为用户提供服务平台，您应自行对利用服务从事的所有行为及结果承担责任。相应地，您应了解，使用群艺积分制服务可能发生来自他人非法或不当行为（或信息）的风险，您应自行判断及行动，并自行承担相应的风险。
2、您应自行承担因使用服务所产生的费用，包括但不限于上网流量费、通信服务费、咨询费用等。
3、除非另有说明，本协议项下的服务只能用于非商业用途。您承诺不对本服务任何部分或本服务之使用或获得，进行复制、拷贝、出售、转售或用于包括但不限于广告及任何其它商业目的。
4、您承诺不会利用本服务进行任何违法或不当的活动，包括但不限于下列行为:
4.1 上载、传送或分享含有下列内容之一的信息：
4.2 冒充任何人或机构，或以虚伪不实的方式陈述或谎称与任何人或机构有关；
4.3 伪造标题或以其他方式操控识别资料，使人误认为该内容为群艺积分制或其关联公司所传送；
4.4 将依据任何法律或合约或法定关系（例如由于雇佣关系和依据保密合约所得知或揭露之内部资料、专属及机密资料）知悉但无权传送之任何内容加以上载、传送或分享；
4.5 将涉嫌侵害他人权利（包括但不限于著作权、专利权、商标权、商业秘密等知识产权）之内容上载、传送或分享；
4.6 滥用积分制管理, 恶意或不理智的使用奖扣分或其他功能给他人造成过失、财产名誉损失、行贿受贿、人员伤亡、组织经营不善等任何相关负面事件。如果因为上述原因导致个人或组织损失的，群艺积分制不承担任何法律和经济责任；
4.7 将任何广告、推广信息、促销资料、“垃圾邮件”、“滥发信件”、“连锁信件”、“直销”或其它任何形式的劝诱资料加以上载、传送或分享；供前述目的使用的专用区域或专用功能除外；
4.8 因本服务并非为某些特定目的而设计，您不可将本服务用于包括但不限于核设施、军事用途、医疗设施、交通通讯等重要领域。如果因为软件或服务的原因导致上述操作失败而带来的人员伤亡、财产损失和环境破坏等，群艺积分制不承担法律责任；
4.9 进行任何超出正常的组织内部信息沟通、管理等目的的行为；
4.10 出于超出正常的组织内部信息沟通、管理等目的（包括但不限于为发布国家法律禁止的公告信息），非法使用奖扣任务、任务大厅、公告等相关功能（包括但不限于违反国家法律的事件、逼迫员工违法行事、违反劳动法等相关非法行为）；
4.11 违反遵守法律法规、社会主义制度、国家利益、公民合法利益、公共秩序、社会道德风尚和信息真实性等“七条底线”要求的行为；
4.12 从事任何违反中国法律、法规、规章、政策及规范性文件的行为。
5、您承诺不对本软件和服务从事以下行为：
5.1 将有关干扰、破坏或限制任何计算机软件、硬件或通讯设备功能的软件病毒或其他计算机代码、档案和程序之资料，加以上载、张贴、发送电子邮件或以其他方式传送；
5.2 干扰或破坏本服务或与本服务相连线之服务器和网络，或违反任何关于本服务连线网络之规定、程序、政策或规范；
5.3 通过修改或伪造软件运行中的指令、数据，增加、删减、变动软件的功能或运行效果，或者将用于上述用途的软件、方法进行运营或向公众传播，无论这些行为是否为商业目的；
5.4 通过非群艺积分制开发、授权的第三方软件、插件、外挂、系统，登录或使用软件及服务，或制作、发布、传播上述工具；
5.5 自行、授权他人或利用第三方软件对本软件及其组件、模块、数据等进行干扰。
6、您承诺，使用群艺积分制服务时您将严格遵守本协议。
7、您同意并接受群艺积分制无须时时监控您上载、传送或分享的资料及信息，但群艺积分制有权对您使用服务的情况进行审查、监督并采取相应行动，包括但不限于删除信息、中止或终止服务，及向有关机关报告。
8、您承诺不以任何形式使用本服务侵犯群艺积分制的商业利益，或从事任何可能对群艺积分制造成损害或不利于群艺积分制的行为。
9、您了解并同意，在群艺积分制服务提供过程中，群艺积分制及其关联公司自行或由其他第三方合作伙伴向您发送广告、推广或宣传信息（包括商业或非商业信息）。群艺积分制依照法律的规定对广告商履行相关义务（包括向您提供选择关闭广告信息的功能），您应当自行判断广告信息的真实性和可靠性并为自己的判断行为负责，除法律明确规定外，您因依该广告信息进行的交易或前述广告商提供的内容而遭受的损失或损害，群艺积分制不承担责任。
10、如您申请服务管理账号，则应自行通过账号添加和管理成员，并对管理成员的行为自行承担责任，群艺积分制根据您服务管理账号的行为对成员服务的调整亦由您承担后果，因此给群艺积分制或他人造成损失的，您应当予以赔偿。
11、您充分了解并同意，您必须为自己注册帐号下的一切行为负责，包括您所发表的任何内容以及由此产生的任何后果。您应对使用本服务时接触到的内容自行加以判断，并承担因使用内容而引起的所有风险，包括因对内容的正确性、完整性或实用性的依赖而产生的风险。群艺积分制无法且不会对您因前述风险而导致的任何损失或损害承担责任。
12、如果群艺积分制发现或收到他人举报您有违反本协议约定的，群艺积分制有权不经通知随时对相关内容进行删除、屏蔽，并采取包括但不限于收回账号，限制、暂停、终止您使用部分或全部本服务，追究法律责任等措施。
六、服务费用
1、本服务的任何免费试用或免费功能和服务不应视为群艺积分制放弃后续收费的权利。群艺积分制有权提前7天在群艺积分制官网上以公告的形式或其他通讯方式（手机、qq、微信、邮件等不限）通知您收费标准。若您继续使用本服务，则需按群艺积分制公布的收费标准支付相应费用。
2、所有费用需通过群艺积分制接受的支付方式事先支付。前述使用费不包含其它任何税款、费用或相关汇款等支出，否则您应补足付款或自行支付该费用。
3、群艺积分制有权根据实际情况提前7天单方调整费用标准及收费方式，并以公告形式或其他通讯手段（手机、qq、微信、邮件等不限）通知您，而无需获得您的事先同意，如您不同意收费应当立即停止服务的使用，否则使用则视为您已同意并应当缴纳费用。
4、您应当自行支付使用本服务可能产生的上网费以及其他第三方收取的通讯费、信息费、服务器费用、域名空间费等相关费用。
5、您理解并同意，在使用本软件中的部分功能时，群艺积分制方需通过电信运营商提供的网络提供服务，运营商在某些情况下可能向用户收取一定通信费用（如用户处于异地漫游状态时需支付漫游接听费用）。
七、特别授权
1、当您向群艺积分制关联公司作出任何形式的承诺，且相关公司已确认您违反了该承诺，则群艺积分制有权立即按您的承诺约定的方式对您的账户采取限制措施，包括但不限于中止或终止向您提供服务，并公示相关公司确认的您的违约情况。您了解并同意，群艺积分制无须就相关确认与您核对事实，或另行征得您的同意，且群艺积分制无须就此限制措施或公示行为向您承担任何的责任。
2、一旦您违反本协议，或与群艺积分制签订的其他协议的约定，群艺积分制有权以任何方式通知群艺积分制关联公司，要求其对您的权益采取限制措施，包括但不限于要求群艺积分制关联公司中止、终止对您提供部分或全部服务，且在其经营或实际控制的任何网站公示您的违约情况。
八、服务中止或终止
1、鉴于互联网服务的特殊性，群艺积分制有权对服务内容进行变更，也可能会中断、中止或终止全部或者任一部分的服务，包括免费服务和/或收费服务，并在群艺积分制官网上以公示的形式通知您。
2、您了解并同意，群艺积分制可能定期或不定期地对提供网络服务的平台设备、设施和软硬件进行维护或检修，如因此类情况而造成收费服务在合理时间内中止，群艺积分制无需承担责任，但应事先在群艺积分制官网以公示的形式通告您。
3、如存在下列违约情形之一，群艺积分制可立即对用户中止或终止服务，并要求用户赔偿损失：
3.1 用户违反第四条之注册义务；
3.2 用户使用收费网络服务时未按规定支付相应服务费；
3.3 用户违反第五条服务使用规范之规定。
九、隐私政策
1、您在群艺积分制服务注册的账户具有密码保护功能，以确保您基本信息资料的安全，请您妥善保管账户及密码信息。
2、群艺积分制努力采取各种合理的物理、电子和管理方面的安全措施来保护您的信息，使您存储在群艺积分制中的信息和通信内容不会被泄漏、毁损或者丢失，包括但不限于SSL、信息加密存储、数据中心的访问控制。我们对可能接触到信息的员工或外包人员也采取了严格管理，包括但不限于根据岗位的不同采取不同的权限控制，与他们签署保密协议，监控他们的操作情况等措施。群艺积分制会按现有技术提供相应的安全措施来保护您的信息，提供合理的安全保障，群艺积分制将在任何时候尽力做到使您的信息不被泄漏、毁损或丢失，但同时也请您注意在信息网络上不存在绝对完善的安全措施，请妥善保管好相关信息。
3、您应当保管好终端、账号及密码，并妥善保管相关信息和内容。因您自身原因导致的数据丢失或被盗以及在本软件及服务中相关数据的删除或储存失败的责任由您自行承担。
4、其他隐私条款见《群艺积分制隐私权政策》。
十、知识产权
1、您了解及同意，除非群艺积分制另行声明，本协议项下服务包含的所有产品、技术、软件、程序、数据及其他信息（包括但不限于文字、图像、图片、照片、音频、视频、图表、色彩、版面设计、电子文档）的所有知识产权（包括但不限于版权、商标权、专利权、商业秘密等）及相关权利均归群艺积分制或其关联公司所有。
2、您应保证，除非取得群艺积分制书面授权，对于上述权利您不得（并不得允许任何第三人）实施包括但不限于出租、出借、出售、散布、复制、修改、转载、汇编、发表、出版、还原工程、反向汇编、反向编译，或以其它方式发现原始码等的行为。
3、群艺积分制服务涉及的Logo、“群艺积分制”、“湖北群艺”、“积分制管理”、“群艺积分制管理”等文字、图形及其组成，以及群艺积分制其他标识、徵记、产品和服务名称均为群艺积分制及其关联公司在中国和其它国家的商标，用户未经群艺积分制书面授权不得以任何方式展示、使用或作其他处理，也不得向他人表明您有权展示、使用、或作其他处理。
4、您理解并同意授权群艺积分制在宣传和推广中使用您的名称、商标、标识，但仅限于表明您属于我们的客户或合作伙伴。
十一、 免责声明
1、您在使用服务的过程中应遵守国家法律法规及政策规定，因其使用服务而产生的行为后果由您自行承担。
2、通过服务发布的任何信息，及通过服务传递的任何观点不代表群艺积分制公司之立场，群艺积分制公司亦不对其完整性、真实性、准确性或可靠性负责。您对于可能会接触到的非法的、非道德的、错误的或存在其他失宜之处的信息，及被错误归类或是带有欺骗性的发布内容，应自行做出判断。在任何情况下，对于任何信息，包括但不仅限于其发生的任何错误或遗漏；或是由于使用通过服务发布、私信、传达、其他方式所释出的或在别处传播的信息，而造成的任何损失或伤害，应由相关行为主体承担全部责任。
3、鉴于外部链接指向的网页内容非群艺积分制公司实际控制的，因此群艺积分制公司无法保证为向您提供便利而设置的外部链接的准确性和完整性。
4、您完全理解并同意，本服务涉及到互联网等相关服务，可能会受到不可抗力（包括但不限于战争、台风、水灾、火灾、地震、罢工、暴动等）、计算机病毒或黑客攻击、互联网络等造成的服务中断或不能满足您要求的风险，使用本服务的您须承担以上风险，群艺积分制公司不承担任何责任。
5、对网站系统发生故障影响到本服务的正常运行，群艺积分制公司承诺将及时处理、修复。但您因此而产生的经济和精神损失，群艺积分制公司不承担任何责任。此外，群艺积分制公司保留不经事先通知进行维护、升级或其他目的暂停本服务的权利，由此产生的损失群艺积分制公司不承担任何责任。
6、您在使用过程中遭受的来自任何他人的威胁、诽谤或其他非法行为，您对此必须自己承担责任，群艺积分制公司对本服务不做任何类型的保证；对因此导致任何您产生直接或间接的损失，群艺积分制公司不承担任何责任。
7、您在注册账号后，如果出现违反法律或本协议的情形，有权回收该账号，由此给您带来的任何问题均由您自行承担。
8、如发生下列任何一种情形，群艺积分制有权随时中断或终止向您提供服务而无需通知该您：
8.1 提供的个人资料不真实或存在侵犯第三方知识产权或其他权利的情形；
8.2 违反本服务条款的规定；
8.3 按照政府部门/司法机关的要求；
8.4 注册后长期（持续365日或以上）闲置不用的账号；
8.5 恶意抢注组织名称，群艺积分制公司收到第三方投诉且该第三方出具相应证据的；
8.6 其他群艺积分制公司认为是符合整体服务需求的特殊情形。
9、您知悉并同意，群艺积分制公司可能会与第三方合作向您提供产品，并由第三方向您提供该产品的升级、维护、客服等后续工作，由该等第三方对该产品的质量问题或其本身的原因导致的一切纠纷或您损失承担责任，您在此同意将向该第三方主张与此有关的一切权利和损失。
10、群艺积分制平台上提供的产品或服务，如未标明使用期限、或者其标明的使用期限为“永久”、“无限期”或“无限制”的，则其使用期限为自您获得该产品或服务之日起至该产品或服务在群艺积分制下线之日为止。
十二、违约责任及赔偿
1、如果群艺积分制发现或收到他人举报您有违反本协议约定的，群艺积分制有权不经通知随时对相关内容进行删除、屏蔽，并采取包括但不限于限制、暂停、终止您使用群艺积分制账号及服务，限制、暂停、终止您使用部分（如清除事件库、删除权限配置、清空所有奖扣分数据等一切系统数据）或全部本服务，以及追究法律责任等措施。

十三、有效通知
1、群艺积分制向您发出的任何通知，可采用电子邮件、页面公开区域公告、个人网络区域提示、手机短信或常规信件等方式，且该等通知应自发送之日视为已向用户送达或生效。
2、您同意，您向群艺积分制发出的任何通知应发至群艺积分制对外正式公布或以第十六条所述方式告知用户的线上或线下联系方式、通信地址、电子邮件、等联系信息，或使用其他群艺积分制认可的其他通知方式进行送达。
十四、争议解决及其他
1、本协议之解释与适用，以及与本协议有关的争议，均应依照中华人民共和国法律予以处理，并以湖北省荆门市东宝区人民法院为第一审管辖法院。
2、如本协议的任何条款被视作无效或无法执行，则上述条款可被分离，其余部份则仍具有法律效力。
3、群艺积分制对于用户过失或违约时放弃本协议规定的权利的，不得视为其对用户的其他或以后同类之过失或违约行为弃权。
4、本协议应取代双方此前就本协议任何事项达成的全部口头和书面协议、安排、谅解和通信。
5、您理解并同意，群艺积分制有权自主决定经营策略并根据业务调整情况将本协议项下的全部权利义务一并转移给其关联公司，转让将以本协议规定的方式通知，用户承诺对此不持有异议。

Qunyi MPM Terms of Service
Welcome to use Qunyi MPM Service!
Notice: Before using the Qunyi MPM Services, you shall carefully read and comply with Qunyi Term of Service (the "Agreement") and the Qunyi MPM Privacy Policy. Please carefully read and fully understand the terms hereof and thereof, especially the terms exempting or limiting the Qunyi MPM's liabilities, which may be marked in bold, and terms on dispute resolution and governing laws.
By entering your information according to the instructions on the registration page or activation page, reading and accepting this Agreement, and completing all registration or activation procedures, or by actually using the Services in any other manner permitted by Qunyi MPM, you represent that you have fully read, understood and accepted all terms hereof, and this Agreement shall be legally binding. You undertake to accept and comply with the provisions of this Agreement, and shall not claim that this Agreement is invalid or request to annul this Agreement on the ground that you have not read the contents of this Agreement or have not received Qunyi MPM's reply to your inquiries or otherwise.
Article 1. Parties
1. This Agreement is executed by and between the user by using Qunyi MPM Services through Qunyi MPM website, Qunyi MPM PC and Mobile App, Qunyi MPM software, Qunyi MPM hardware and other service (hereof referred as"user" or "you") and Hubei Qunyi Cultural Industry Group Co. Ltd, Qunyi Merit Point (Guang Zhou) Internet Technology Co. Ltd., Qunyi Merit Point (Wuhan) Internet Technology Co. Ltd., Hubei Qunyi Merit Point Management Consulting Co., Ltd., collectively named as "Qunyi MPM", or "we".
Article 2. Contents and Effect of this Agreement
1. The contents of this Agreement include the main body hereof and all privacy policies, other policies, rules, statements, notices, warnings, alerts and instructions published or to be published by Qunyi MPM ("Rules"). Such Rules are an integral part of this Agreement and shall have the same legal effect as the main body hereof.
2. Qunyi MPM has the right to formulate or amend this Agreement and/or relevant Rules according to its needs from time to time, the amended Agreement and Rules shall immediately supersede the original Agreement and Rules and take effect once notice announced. If you disagree with any relevant amendment, you shall immediately stop using Qunyi MPM Services, and your continued use of Qunyi MPM Services or any activity on the website shall be deemed as your acceptance of the amended Agreement and Rules.
Article 3. Scope of Services
1. Qunyi MPM provides products and services which include Qunyi MPM official website (jifenzhi.com) and Qunyi Community MPM official website (domain: jifenzhi.city), DingTalk Academy website (domain: jifenzhi.top), Qunyi MPM platform (domain: jifenzhi.info) and software client, Qunyi Community MPM platform and software client, Qunyi Family and Children MPN platform and software client, Qunyi Academy MPM platform and software client, DingTalk Internet/Internet of things intelligent hardware (such as LED publicity screens, Large-screen display system, attendance machine), Qunyi Customer Relationship Management System (abbreviation: Qunyi CRM), Qunyi Attendance Management System (abbreviation: Qunyi Attendance) and other third party service and/or hardware that integrating of certain Qunyi MPM features/services (Collectively the "Qunyi MPM Service" as then provided by Qunyi MPM) and we will make continuous effort to enhance the Qunyi MPM Services. If you have registered to use the Services in any form, you may use other versions of Services with the same account and this Agreement automatically applies to your use of all versions of applications and Services.
This Agreement does not apply to the services provided directly by other third parties through the foregoing Qunyi MPM Services platform(collectively referred to as "Third Party Service"), such as the third party application service or product that you choose and use through the Qunyi MPM website or Qunyi APP Center (PC and Mobile), You should fully understand the third-party services provided before choosing to use them.
2. Qunyi MPM grants you a non-transferable, non-exclusive license to use Qunyi MPM application in accordance with this Agreement, the Qunyi MPM Privacy Policy and all other applicable Rules and you may produce a copy of this application only as a back-up, which must contain all copyright information included in the original application. All other rights not expressly granted in this Agreement or other provisions of this Agreement shall be reserved by Qunyi MPM and your exercise of these rights shall be subject to the written consent from Qunyi MPM. Failure of Qunyi MPM in exercising any such right shall not constitute a waiver thereof.
3. The scope of the Services includes core technical functions that support the MPM system and its the application, which may be changed based on users' demands, or optimized or modified with the upgrade of service application or at the sole discretion of service provider, or suspended due to regular or irregular maintenance.
4. Qunyi MPM reserves the right to change, upgrade, modify or transfer the Services or any part thereof and the relevant functions and applications at any time at its own discretion. You agree that Qunyi is not required to notify you of and will not be liable to you or any third party for such change, upgrade, modification or transfer, announcement shall be made publicity via Qunyi MPM official website (jifenzhi .com).
5. With the written authorization from your corporate/organization, you may apply for an administrator account, upon reviewed and approved, this administrator account can have the highest authority, include setting of organization chart, management staff authorization levels, customized rankings and other customized settings, merit and demerit point range of respective department and its employee. Corporate/organizations and authorized administrators shall fully explain to the new added members in your organization on the designated Qunyi MPM service provided to your organization accordance to your organization needs/requirements.
6. As long as you accept invitation to become and remain as user of Qunyi MPM Services, you are entitled to the scope of services provided by Qunyi MPM. As you authorize your company/organization's administrator account to manage your membership and relevant interests associated with the membership, including but not limited to add, delete and adjust the authority and restriction of service scope, and you undertake to use Qunyi MPM Services within the scope of your company/organization's authority in addition to the compliance with the this Agreement.
Article 4. Registration and Account Management
1. You hereby acknowledge that when you complete the registration procedures or otherwise actually use the Services in such a manner as permitted by Qunyi MPM, you are a natural person, legal person or other organization that has full capacity for civil rights and for civil conducts conducted by you. If you are not such an eligible user, please do not use the Services; otherwise, you and your guardian shall bear all consequences arising therefrom and Qunyi MPM has the right to close (permanently freeze) your account and claim loses and damages to Qunyi MPM against you and/or your guardian. If you registration or actually use the Services in such manners as permitted by Qunyi MPM on behalf of a company, organization or other legal entity, you hereby represent and warrant that you have been duly authorized and have the right to make such company, organization or legal entity bound by the terms of this Agreement.
2. At the time of registration, You may use your cellphone number provided or other methods acceptable by Qunyi MPM for account registration, you undertake to submit true, accurate, complete identity information and other relevant information reflecting your current conditions and the Qunyi MPM will automatically assign a Qunyi MPM account to you. You may set the Qunyi MPM account name only once and it cannot be changed once it is set. You understand and agree that the account name registered, corporate ID code, picture profile and other information set by you shall not include any illegal or offensive information, and that you shall not pretend to be others, or register for others without his/her consent, or register confusingly similar account or set confusingly similar Qunyi MPM account name, Corporate ID, or use user names that may infringe upon interests of others (including but not limited to potential infringement upon trademark right or right of reputation); otherwise, Qunyi MPM has the right to reject your registration or terminate the provision of Services to you and cancel your account and Qunyi MPM account and corporate ID code, with any and all losses incurred therefrom solely borne by you.
3. You understand and agree that the ownership of registered Qunyi MPM account (including client account and corporate ID code) shall belong to Qunyi MPM and you only have the right to use such account upon completion of registration. The right to use Qunyi account shall only be vested in the original applicant for registration and shall not be transferred or provided to others in any manner; otherwise, Qunyi MPM has the right to repossess such account immediately without further notice and any and all losses caused by deletion and loss of all data and information generated during your use of the Services shall be solely borne by you.
4. After your successful registration, Qunyi MPM will confirm your identity elements for your further log in Qunyi MPM, the identity elements consist of the name of your Qunyi MPM account, password, your cell phone number, SMS verification code, ID number, facial features and/or Eye grain information. you consent that Qunyi MPM may apply different identity element to verify your Qunyi MPM account in accordance with the terminal you apply and the habits that you use and log in the account, e.g., you may be verified by your password and SMS verification code when your log in your Qunyi MPM account initially at a new terminal. You shall properly keep your terminal, account name and password and/or identity elements and be liable for all activities (including but not limited to clicking "Accept" for or submitting various Rules and agreements online, purchasing Services, sharing information or image, initiating conference call) carried out by using such account and password and/or identity elements. You undertake to notify Qunyi MPM immediately if your password or account is used without authorization or in case of any other security incident, and except for otherwise stipulated by laws, you agree and acknowledge that Qunyi MPM will not be liable for any direct or indirect loss or damages caused under such circumstance. Unless under applicable laws or judicial rulings and with the consent of Qunyi MPM, your account name and password may not be assigned, bestowed or inherited in any manner (except for property rights and interests in connection with the account).
5. You understand and agree that for the purpose of optimizing the management of website, if you fail to log in to Qunyi MPM for 12 consecutive months after registration of Qunyi MPM account, Qunyi MPM has the right to repossess your account, and relevant problems and liabilities shall be solved and undertaken solely by yourself.
6. if You deregistration the Qunyi MPM account and stop using Qunyi MPM Service, Qunyi MPM has the right to dispose of the contents/data and information relevant with the account, including but not limited to deletion of the same, and shall not be liable to the User in any manner; if the account is an administrator account, Qunyi MPM has the right to cancel and delete such administrator account and all information and relevant rights and interests, including but not limited to terminating its service relationship with the company, organization and other legal entity, deleting task , terminating administrator's merit/demerit authorization, deleting all information in the administrator account, deleting all merit/demerit data in organization. Meanwhile, You and/or your company/organization is obliged to cancel the above-mentioned company/organization's data and/or information.
Article 5. Service Use Regulations
1. You fully understand and agree that Qunyi MPM only provides a service platform to the User and you shall be liable for all acts conducted by using the Services and their consequences on your own. Accordingly, you shall understand that your use of Qunyi MPM Services may be exposed to risks of illegal or improper conduct (or information) of others, and you shall judge and act on your own and assume the corresponding risks.
2. You shall bear fees arising from your use of the Services on your own, including but not limited to cellphone data fee and telecommunication service fee.
3. Unless otherwise specified, the Services hereunder shall be used for non-commercial purposes only. You undertake not to duplicate, copy, sell, resell or use any part of the Services or the use or acquisition thereof for any commercial purposes including but not limited to advertising.
4. You undertake not to use the Services for any illegal or improper actions, including but not limited to:
4.1 Uploading, transmitting or sharing information containing any content which:
(a) opposes the fundamental
principles established by the Constitution;
(b) jeopardizes national security, divulges national secrets,
subverts state power, or sabotages national unity;
(c) damages the national honor and interest;
(d)
incites
ethnic hatred or discrimination, or undermines ethnic solidarity;
(e) violates the national religious
policies,
or propagates evil cults or superstition;
(f) spreads rumors, disturbs public order, or sabotages social
stability;
(g) encourages obscenity, eroticism, gambling, violence, murder, terror or instigates
crimes;
(h)
insults or defames others, or infringes upon the lawful rights and interests of others;
(I) is false,
fraudulent,
harmful, coercive, encroaching on privacy of others, harassing, infringing, slandering, vulgar, obscene, grossly
harmful, blasphemous, defamatory, pornographic, pedophilic, libelous, invasive of another's privacy, hateful, or
racially, ethnically objectionable, disparaging, relating or is otherwise morally disturbing or unlawful in any
manner;
(j) is otherwise restricted or prohibited by the laws, regulations, rules, ordinances and any codes
with
legal effect in People's Republic of China or any other applicable jurisdiction whose laws may apply to your use
of
the Services;
4.2 Pretending to be any other person or organization, or falsely representing or fraudulently claiming to be related to any other person or organization;
4.3 Fabricating titles or otherwise manipulating the identification materials to mislead others to believe that such content is transmitted by Qunyi MPM or its affiliates;
4.4 Uploading, transmitting or sharing any content known by you under any law or agreement or statutory relation (e.g., internal materials and proprietary and confidential data obtained or disclosed due to any employment relation or under any confidentiality agreement) which you are not authorized to upload, transmit or share;
4.5 Uploading, transmitting or sharing any content suspected of infringing any other person's rights (including but not limited to copyright, patent right, trademark right, trade secret and other intellectual property rights);
4.6 Stalking or otherwise harassing others, or sending a large amount of information to your friends or other users through Qunyi MPM Services;
4.7 Uploading, transmitting or sharing any advertisement, marketing information, promotional materials, "spam", "chain letters", "direct sale" or solicitation materials in any other form, except to the community or by the function exclusively for the foregoing purposes;
4.8 Using the Services in critical sectors for which the Services are not designed, including but not limited to nuclear facilities, military, medical facilities, transportation and telecommunication. Qunyi MPM will not be legally liable for any personal injury or death, property loss or environmental disruption caused by failure of the foregoing operations due to the application or Services;
4.9 Any act beyond the ordinary communications, whether internal or external, between friends or users;
4.10 Adding other users as friends, inducing other users to add you as their friend or otherwise befriending other users (including but not limited to forming unilateral and bilateral friend relations, the same below) for the purposes beyond the ordinary communications, whether internal or external, between friends or users (including but not limited to sending advertisements, spam, harassing information or information violating laws and regulations);
Sending a large amount of information to your friends or other users through the Service;
4.11 Any act violating the "seven base lines" (i.e., the laws and regulations, the socialist system, the national interests, the citizens' lawful rights and interests, the public order, the social morality and the information authenticity); and
4.12 Any act violating PRC laws, regulations, rules, policies or normative documents.
5. You undertake not to do any of the following acts to Qunyi MPM software and Services:
5.1 Uploading, posting, emailing or otherwise transmitting any materials relating to the software virus or other computer code, file or program that disrupts, damages or restricts the functions of any computer hardware, software or telecommunication device;
5.2 Disrupting or damaging the Services or the servers and networks connected to the Services, or violating any regulations, procedures, policies or codes relating to the networks connected to the Services;
5.3 Adding, deleting, reducing or altering application functions or effects by modifying or fabricating directives and data in its running process, or operating or distributing to the public the software and methods applied for the above purposes, whether for commercial purposes or not;
5.4 Logging in to or using the application and Services via any third-party software, plug-in or system that is not developed or authorized by Qunyi MPM, or producing, publishing or spreading above tools; or
5.5 Disrupting the application or its components, modules and data on your own or by authorizing others or through using third-party software.
6. You undertake to strictly comply with this Agreement by using the Qunyi MPM Services.
7. You agree and accept that Qunyi MPM is not required to monitor the data and information uploaded, transmitted or shared by you in real time, provided, however, that Qunyi MPM has the right to review and supervise your use of the Services and take corresponding actions, including but not limited to deleting information, suspending or terminating the Services, and reporting to the relevant authority.
8. You undertake not to use the Services in any form detrimental to Qunyi MPM's business interests, or engage in any acts that may damage or be prejudicial to Qunyi MPM.
9. You understand and agree that, in the provision of the Qunyi MPM Services, Qunyi MPM Company and its affiliates together with Qunyi MPM's authorized corporation partners, are entitled to achieve you with commercial advertisements or promotional information in commercial or non-commercial form. Qunyi MPM Company may perform obligation to the advertisement/promotion pertinent to the laws and regulation (including to offer a feature of closing the advertisement/promotion) and you should judge the authenticity and reliability of advertising information and take responsibility for your judgment. Except as expressly stated by laws, you should bear the loss and damages by the trading information or by the content of the advertisement and/or promotion by yourself and Qunyi MPM shall not be liable for the aforementioned condition.
10. If you, as an appointed and authorized Qunyi MPM administrator account or sub-administrator by your organization, you shall add and manage members through the account on your own, and be solely responsible for the conducts of such members. You shall also assume consequences resulting from any adjustment of the Services provided to the members by Qunyi MPM based on the conduct of your Service administrator account, and shall compensate for losses caused to Qunyi MPM or others thereby.
11. You fully understand and agree that you must be responsible for all conducts under your registered account, including any contents you publish and all consequences resulting therefrom. You shall judge on your own the contents you access in using the Services, and undertake all risks arising out of using the contents, including risks arising from reliance on the accuracy, completeness or practicability of the contents. Qunyi MPM cannot and will not assume any liability for any losses or damages incurred by you due to the aforesaid risks.
12. If We discovers or receives report from others that you have breached this Agreement, Qunyi MPM shall verify the report with its preliminary evidence, notice you in accordance with the applicable laws and regulations, and is entitled to delete and block relevant contents at any time without any notice, and take the measures including but not limited to repossessing your account, restricting, suspending or terminating your use of all or part of the Qunyi MPM Service, and holding you legally liable therefor.
Article 6. Service Fees
1. Any free trial, free functions or free portion of Services shall not be deemed as a waiver by Qunyi MPM of any fee in the future. Qunyi MPM has the right to inform you of the fee rate and the means of the payment in the form of announcement on the Qunyi MPM official website or other communication methods (mobile phone, qq, WeChat, email, etc.) with seven days in advance. If you intend to continue your use, you shall make payment at the fee rate and the payment published by Qunyi MPM.
2. All fees shall be paid in advance in payment methods that are acceptable to Qunyi MPM. Such fees do not include any taxes, charges or relevant remittances commissions, for which you shall make up for the difference or make payment on your own.
3. Qunyi MPM has the right to unilaterally adjust the fee rate and methods of fee collection seven days in advance based on actual situations by notifying you in the form of announcement or other communication methods (mobile phone, qq, WeChat, email, etc.) without your consent. If you disagree with such fee collection, you shall immediately stop your use of the Services, or otherwise you shall be deemed as having consented to the same and shall make payment.
4. You shall pay on you own the Internet access fee and other communication fee and information fee, etc., to be charged by third parties incurred during your use of the Services.
5. You understand and agree that, in using the voice service in the application, Qunyi MPM will provide the Services via the network provided by telecommunication operators, who, in some cases, may collect certain communication fees from the User (for example, the User is required to pay roaming charges when he/she is roaming in a different region).
Article 7. Special Authorization
1. Where you have made any undertakings in any form to any of Qunyi MPM's affiliates and the relevant affiliate has confirmed that you are in breach of such undertakings, Qunyi MPM has the right to immediately take restrictive measures against your account as provided in your undertakings, including but not limited to suspension or termination of the provision of the Services to you, and announcement of your breach as confirmed by the relevant affiliate. You understand and agree that Qunyi MPM is not required to check the fact with you in respect of the relevant confirmation or otherwise obtain your consent, and Qunyi MPM shall not be held liable to you for such restrictive measures or announcement.
2. Once you breach this Agreement or other agreements concluded between you and Qunyi MPM, Qunyi MPM has the right to notify Qunyi MPM's affiliates in any way and require such affiliates to take restrictive measures against your interests, including but not limited to requiring such affiliates to suspend or terminate the provision of the Services in whole or in part to you, and to announce your breach in any websites they operate or actually control.
Article 8. Suspension or Termination of the Services
1. You agree that, in consideration of the particularity of internet services, Qunyi MPM has the right to suspend, terminate or procure the suspension or termination of the Services or any portion thereof at any time, and that Qunyi MPM is entitles to announce that by give you notice on Qunyi MPM official website for such suspension or termination of free Services.
2. You understand and agree that Qunyi MPM may, on a regular or irregular basis, carry out maintenance or servicing of devices, facilities, software and hardware of the platform with which Internet services are provided, and that Qunyi MPM shall assume no liability if the paid Services are therefore suspended for a reasonable period, provided that Qunyi MPM shall make announcement on Qunyi MPM official website in advance to the greatest extent possible.
3. Qunyi MPM may immediately suspend or terminate the provision of the Services to the User and request the User to make compensation for losses if:
3.1 the User breaches the obligation of registration as provided in Article 4;
3.2 the User fails to pay the corresponding service fees for the use of paid network services; or
3.3 the User violates the provisions of Article 5 in respect of the use of Services.
Article 9. Privacy Policy
1. Your account registered at Qunyi MPM is equipped with the function of password protection to ensure security of your basic information. Please keep properly your account and password information.
2. Qunyi MPM takes a variety of reasonable physical, electronic and administrative measures to protect your information and prevent your information and communication contents stored in Qunyi MPM from being divulged, damaged or lost, including but not limited to SSL, encrypted information storage and access control to the data center. We also strictly manage the employees and contractors who may have access to your information, including but not limited to different access controls that are in place according to different posts, execution of confidentiality agreements with them, and monitoring of their operation. Qunyi MPM will rely on existing technologies to provide corresponding security measures to protect your information and offer reasonable security protection, and will at all times make best endeavor to prevent your information from being divulged, damaged or lost. Meanwhile, please note that there are no "perfect security measures" in the information network, and please keep properly the relevant information.
3. You shall keep your terminal, account and password safe, and properly keep relevant information and contents. You be held liable for lost or stolen data or for deletion or storage failure of relevant data in the application and the Services for reasons that are attributable to you.
4. Please refer to Qunyi MPM Privacy Policy for other privacy terms.
Article 10. Intellectual Property Rights
1. You understand and agree that unless otherwise stated by Qunyi MPM, all intellectual property rights (including but not limited to copyright, trademark right, patent right, trade secret) and any other related rights in, of and to all products, technologies, software, programs, data and other information (including but not limited to texts, graphs, pictures, photos, audios, videos, charts, colors, layout and electronic files) contained in the Services hereunder are vested in Qunyi MPM or its affiliates.
2. You shall guarantee that unless authorized by Qunyi MPM in writing, with respect to the above rights, you shall not (and shall not allow any third party to) conduct acts including without limitation leasing, lending, selling, distributing, copying, modifying, reposting, compiling, releasing, publishing, reverse engineering, decomposing, decompiling, or otherwise obtaining the source code.
3. The logo of Qunyi, "Qunyi MPM", "Hubei Qunyi", "Jifenzhi Management" "Qunyi Jifenzhi Management other texts, graphs and combination thereof, as well as other logos, marks, product names and service names of Qunyi MPM involved in Qunyi MPM Services are all trademarks of Qunyi MPM Company and its affiliates in China and other countries. Without the written authorization of Qunyi MPM, you shall not display, use or otherwise process any of the said trademarks in any way, or represent to others that you have the right to do so.
4. You understand that Qunyi MPM may and You agree to authorize Qunyi MPM to use your name, trademark and logo in the advertising and promotion only for the purpose of showing that you are our client or partner.
Article 11. Limited Liability
1. You should abide by national laws, regulations and policies in the process of using the service, and you shall liable for the consequences caused by the non-compliances.
2. Qunyi MPM makes no undertaking and responsibility in respect of the effectiveness, accuracy, reliability, quality, completeness and timeliness of any information published through the service and any opinions transmitted through the service. You shall acknowledge the risk and make your own judgment illegal, unethical, wrong or other inappropriate information that you may come into contact with, or any misleading or deceptive postings. In any circumstances that any information, including but not limited to any errors or omissions that occurred, or any use of information released through the service, private letter, communication, or other means of release or transmit elsewhere, any loss or injury shall be fully borne by you.
3. Qunyi MPM has no right and control over any content from external links. Qunyi MPM cannot guarantee and responsible for the accuracy and completeness of the information which conveniently provided by the external links.
4. You fully understand and agree that this service involves Internet and other related services, may be interrupted or not meeting your expectations due to force majeure events (including but not limited to war, typhoon, flood, fire, earthquake, strike, riot, etc.), computer viruses or hacking attacks, Internet networks, etc. You have been fully aware of such risks, and hereby acknowledge that you shall take such risks on your own, for which Qunyi MPM shall not be liable.
5. Qunyi MPM promises to repair and rectify in time website abnormality that may obstruct the normal operation of this service, However, Qunyi MPM will not bear any responsibility for your economic and noneconomic losses. Qunyi MPM reserves the right to suspend the service without prior notice in the event of maintenance work, upgrades or other purposes, and Qunyi MPM shall not liable for the losses.
6. You shall bear your own responsibility for threats, defamation or other illegal acts that you may have encountered while using the service. Qunyi MPM shall not responsible and liable for any direct or indirect losses caused by the above risks.
7. After registering account, if you found breaching the terms of service of this agreement, Qunyi MPM has the right to withdraw the account, and any problems arises from such violation shall be borne by you
8. In case of any of the following situations, Qunyi MPM reserves the right to interrupt or terminate the service to you at any time without notifying you:
8.1 The personal data provided is untrue or infringes on the intellectual property rights or other rights of third parties;
8.2 Violation of the provisions of these Terms of Service;
8.3 As required by government departments and / or judicial authorities;
8.4 Accounts that have been left unused for a long time (lasting 365 days or more) after registration;
8.5 Maliciously registering company/organization name, and Qunyi MPM received a third-party complaint and the third-party issued corresponding evidence;
8.6 Exceptional case under the request of other Qunyi MPM companies to meet overall service demand
9 You understand and agree that Qunyi MPM may cooperate with a third party to provide you product, and the third party shall provide you with the follow-up work such as upgrade, maintenance, customer service, etc. The third party shall responsible for all disputes and product quality issue arises, and you hereby agree to claim to this third party all relevant rights and losses
10. For all products or services provided on the Qunyi MPM platform, if the period of use is not indicated, or if the period of use indicated is "permanent", "infinite" or "unlimited", then the period of use is from the receiving date of the product or commencing date of the service until the product or service is discontinued from the Qunyi MPM System
Article 12. Liability for Breach and Compensation
1. If Qunyi MPM discovers or receives report from others that you have breached this Agreement, Qunyi MPM shall have the right to delete and block relevant contents at any time without any notice, and take measures including without limitation restricting, suspending or terminating your use of Qunyi MPM account and services, restricting, suspending or terminating your use of all or part of the Services (including but not limited to terminating your relationship with the group or members, deleting contact list, restricting addition of new members, message delivery or addition of new friends), and holding you legally liable therefor.
2. You agree that if any claim or demand is made by any third party against Qunyi MPM or its affiliates, or any loss is incurred by Qunyi MPM or its affiliates, due to or resulting from the information uploaded, transmitted or share by you through the Services, your use of other functions of the Services, your breach hereof or your infringement of any rights or interests of others, you shall make full compensation (including without limitation reasonable attorney's fees).
Article 13. Effective Notice
1. Notices may be sent by Qunyi MPM to you through email, announcement on the public zone of web page, alert in personal network area, SMS or regular letter, and such notices shall be deemed as having been duly delivered to the User or become effective on the date when it is sent.
2. You agree that any notice sent by you to Qunyi MPM shall be sent to the email address, mailing address or duly published by Qunyi MPM or notified to the User through the means set forth in Article 15, or be delivered through other methods recognized by Qunyi MPM.
Article 14. Dispute Resolution and Others
1. The interpretation and application of and any dispute in connection with this Agreement shall be governed by the laws of the People's Republic of China, and the People's Court of Dongbao District, Jingmen City, Hubei Province shall be the competent court for the first instance.
2. If any provision hereof is deemed invalid or unenforceable, such provision may be severed and the remaining provisions shall remain legally effective.
3. Qunyi MPM's waiver of its rights hereunder in case of any negligence or breach hereof by the User shall not be construed as its waiver of any other or subsequent similar breach by the User.
4. This Agreement shall supersede all prior oral and written agreements, arrangements, undertakings and communications reached by the Parties in relation to any matters hereof.
5. You understand and consent that Qunyi MPM has the right and upon sole discretion to transfer all of its rights and obligations herein to its affiliates based on its business adjustment and notify such transfer by means specified herein, against which the User undertakes to raise no objection.
